TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern access to the website and freight-dispatch support services provided by Northstar Via Systems LLC (“Northstar,” “Company,” “we,” “our,” or “us”).

By accessing our website, submitting an application, scheduling a consultation, signing a service agreement, participating in a trial, or using our services, you (“Carrier,” “Client,” “you,” or “your”) agree to these Terms.

2. DISPATCH SUPPORT SERVICES

Northstar provides administrative and freight-dispatch support services to authorized motor carriers and owner-operators.

Depending on the service package and signed Dispatch Service Agreement, services may include:

• Searching load boards and other approved freight sources

• Presenting available load opportunities to the Carrier

• Communicating with brokers and shippers as the Carrier’s authorized representative

• Assisting with rate negotiations under the Carrier’s direction

• Obtaining and reviewing rate confirmations

• Supporting pickup and delivery communications

• Organizing load documents

• Assisting with broker setup packets

• Assisting with invoicing and proof-of-delivery document submission

• Providing operational and administrative support

The exact services included are determined by the Carrier’s selected package and signed Dispatch Service Agreement.

Northstar does not guarantee that every requested service, load, lane, rate, broker, or operational result will be available.

3. INDEPENDENT DISPATCHER AND CARRIER’S AGENT

Northstar is an independent dispatch service provider. Northstar is not the Carrier, motor carrier, driver, freight broker, freight forwarder, shipper, insurer, factoring company, or employer of the Carrier or its drivers.

When authorized by a signed agreement, Northstar acts as the Carrier’s limited administrative agent and follows the Carrier’s instructions.

Northstar does not take possession of freight, operate commercial motor vehicles, employ the Carrier’s drivers, or assume responsibility for transportation, cargo, safety, or regulatory compliance.

Northstar does not independently allocate freight among motor carriers. Any load-related support is provided for the Carrier with whom Northstar has a preexisting written service relationship.

4. CARRIER CONTROL AND LOAD APPROVAL

The Carrier retains exclusive control over its business and transportation operations.

The Carrier has the sole authority to:

• Approve or reject every load

• Approve rates and payment terms

• Select brokers and shippers

• Determine routes and schedules

• Control drivers and equipment

• Determine whether a load can be transported safely and legally

• Verify broker credit and payment risk

• Make all final operational and business decisions

Northstar will not knowingly book a load without the Carrier’s approval or previously documented booking instructions.

5. CARRIER QUALIFICATIONS AND DOCUMENTS

The Carrier is responsible for maintaining all documents, insurance, authority, equipment, and qualifications required to conduct its operations legally and safely.

The Carrier may be required to provide:

• Active USDOT and, when applicable, motor-carrier authority

• Certificate of insurance

• Completed Form W-9

• Notice of Assignment, when factoring is used

• Equipment and driver information

• Preferred lanes and operational requirements

• Signed Dispatch Service Agreement

• Limited power of attorney, if separately required and legally reviewed

• Valid payment method through the approved secure payment system

• Any additional broker, shipper, or regulatory documents reasonably required

The Carrier must promptly notify Northstar when any authority, insurance, driver, equipment, payment, factoring, or contact information changes.

6. FOURTEEN-DAY TRIAL

Eligible new clients may receive a fourteen-day premium dispatch trial.

The trial begins on the date identified in the onboarding confirmation or signed Dispatch Service Agreement. A valid payment method may be required before the trial begins.

The trial provides dispatch support but does not guarantee that a load will be located, booked, accepted, completed, or paid during the trial period.

Freight availability depends on market conditions, equipment, location, operating authority, insurance, broker requirements, lane preferences, rates, driver availability, and other factors outside Northstar’s control.

7. CONTINUING AFTER THE TRIAL

If the Carrier chooses to continue service after the trial:

• A $150 setup fee becomes applicable as described in the signed Dispatch Service Agreement and checkout authorization.

• Recurring dispatch fees are billed weekly on Friday.

• The dispatch percentage, flat fee, minimum charge, or other pricing method is the amount stated in the signed Dispatch Service Agreement.

• The Carrier authorizes the approved payment processor to charge amounts properly due under that agreement.

Northstar will not impose a fee that was not disclosed in the signed agreement, checkout authorization, or applicable invoice.

8. BILLING, PAYMENT AUTHORIZATION, AND DISPUTES

Payments may be processed through Truk AI, Stripe, or another approved secure payment provider.

By providing a payment method, the Carrier authorizes Northstar and its payment processor to charge properly disclosed fees when due under the signed Dispatch Service Agreement.

The Carrier is responsible for maintaining accurate billing information and a valid payment method.

Any cancellation notice period, billing dispute deadline, grace period, late fee, refund eligibility, failed-payment charge, or collection procedure will be governed by the signed Dispatch Service Agreement and applicable law.

The Carrier must notify Northstar promptly of any suspected billing error. Initiating a chargeback does not eliminate an otherwise valid contractual payment obligation.

9. CANCELLATION AND TERMINATION

Cancellation and termination rights are governed by the signed Dispatch Service Agreement.

Termination does not eliminate fees properly earned or incurred before the effective termination date. The Carrier remains responsible for providing any documents needed to complete billing or administrative processing for loads handled before termination.

Northstar may suspend or terminate services for reasons including:

• Nonpayment

• Expired or cancelled insurance

• Inactive or suspended operating authority

• Fraudulent or misleading information

• Unsafe or unlawful instructions

• Abuse, threats, or harassment

• Repeated failure to communicate

• Material breach of the service agreement

10. NO LOAD, RATE, REVENUE, OR PROFIT GUARANTEE

Northstar does not guarantee:

• A specific number of loads

• A minimum rate per mile

• A particular gross or net revenue amount

• Continuous freight availability

• Broker approval

• Broker or shipper payment

• Factoring approval

• A specific lane, commodity, or schedule

• Profitability or business success

Any examples, projections, testimonials, or historical results are for informational purposes only. Individual results vary, and past performance does not guarantee future performance.

11. CARRIER RESPONSIBILITIES

The Carrier is solely responsible for:

• Compliance with FMCSA, DOT, state, local, and other applicable requirements

• Driver qualifications and hours-of-service compliance

• Vehicle inspection, maintenance, safety, and securement

• Cargo suitability and legal weight

• Insurance coverage

• Permits, registrations, taxes, and filings

• Reviewing every rate confirmation

• Confirming pickup and delivery requirements

• Retaining bills of lading, proofs of delivery, receipts, and other records

• Evaluating broker and shipper creditworthiness

• Safely and legally transporting all freight

• The conduct of its employees, contractors, and drivers

The Carrier must not accept or complete any load it cannot transport safely, legally, and within the agreed requirements.

12. BROKERS, SHIPPERS, AND THIRD-PARTY SERVICES

Northstar may communicate with brokers, shippers, factoring companies, insurers, load boards, payment processors, and technology providers while supporting the Carrier.

These third parties are independent businesses. Their products and services are governed by their own contracts, policies, availability, and approval requirements.

Northstar is not responsible for:

• Broker or shipper nonpayment

• Factoring decisions

• Load-board outages

• Incorrect information supplied by a third party

• Cargo claims

• Detention, layover, lumper, TONU, or accessorial-payment disputes

• Third-party system failures

• Actions taken by brokers, shippers, receivers, payment processors, or factoring companies

The Carrier remains responsible for deciding whether to conduct business with each third party.

13. TRUK AI, GOHIGHLEVEL, STRIPE, AND TECHNOLOGY

Northstar may use Truk AI, GoHighLevel, Stripe, load boards, email, text messaging, electronic signatures, and other technology to provide Services.

The Carrier understands that technology may experience interruptions, delays, maintenance, errors, or security incidents. Northstar does not guarantee uninterrupted availability of third-party systems.

Access credentials, private links, and account information must be kept confidential. The Carrier must notify Northstar promptly if unauthorized access is suspected.

14. COMMUNICATIONS AND SMS

By providing a telephone number and expressly consenting, you agree to receive service-related text messages from Northstar. Messages may include appointment reminders, onboarding requests, load updates, document requests, billing notices, and customer-support communications.

If you separately consent to marketing communications, you may also receive promotional messages.

Message frequency varies. Message and data rates may apply. Reply STOP to opt out of marketing messages and HELP for assistance.

Consent to receive promotional text messages is not a condition of purchasing any service.

15. CONFIDENTIALITY

Each party agrees to use reasonable care to protect confidential business information received from the other party.

Confidential information may include rates, broker contacts, customer lists, payment information, operational preferences, documents, credentials, and proprietary business procedures.

This obligation does not apply to information that is publicly available, lawfully received from another source, or required to be disclosed by law.

16. PRIVACY

Northstar’s collection and use of personal information are governed by the Privacy Policy available at:

The Privacy Policy is incorporated into these Terms by reference.

17. WEBSITE AND INTELLECTUAL PROPERTY

Website content, branding, documents, templates, graphics, text, training materials, and service processes owned by Northstar may not be copied, resold, reproduced, or distributed without written permission.

You may use our website only for lawful business purposes. You may not interfere with website security, submit false information, impersonate another party, upload malicious content, or attempt unauthorized access.

18. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the website and Services are provided “as is” and “as available.”

Northstar disclaims warranties that are not expressly stated in a signed agreement, including implied warranties of merchantability, fitness for a particular purpose, uninterrupted service, or a particular business outcome.

19. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Northstar will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, lost freight opportunities, cargo losses, business interruption, or third-party nonpayment.

Any limitation of liability contained in the signed Dispatch Service Agreement will control if it conflicts with this section.

Nothing in these Terms excludes liability that cannot legally be limited or excluded.

20. INDEMNIFICATION

To the fullest extent permitted by law, the Carrier agrees to defend, indemnify, and hold Northstar and its authorized personnel harmless from third-party claims, damages, penalties, losses, or expenses arising from:

• The Carrier’s transportation operations

• Driver or vehicle conduct

• Cargo loss, damage, delay, or contamination

• Regulatory violations

• Inaccurate information supplied by the Carrier

• Unsafe or unlawful conduct

• The Carrier’s breach of these Terms or the signed agreement

This provision does not require indemnification for liability that cannot legally be transferred.

21. GOVERNING LAW

Unless the signed Dispatch Service Agreement states otherwise, these Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any dispute procedure, venue requirement, mediation provision, arbitration provision, or attorney-fee provision will be governed by the signed Dispatch Service Agreement.

22. ELECTRONIC RECORDS AND SIGNATURES

You consent to using electronic records, signatures, forms, payment authorizations, and communications.

Electronic signatures and accepted online agreements are intended to have the same effect as paper signatures to the extent permitted by law.

23. CHANGES TO THESE TERMS

Northstar may update these Terms periodically. Updated Terms will be posted on this page with a revised effective date.

Material changes will apply prospectively unless applicable law or a signed agreement requires otherwise.

24. ORDER OF PRIORITY

If these website Terms conflict with a properly signed Dispatch Service Agreement, payment authorization, or service addendum, the signed document controls for the subject of that conflict.

These Terms do not replace the Carrier’s signed Dispatch Service Agreement.

25. SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
